Terms and Conditions
Please read these Terms carefully. By accessing or using Alison, Alison Lite, app.alisonautomation.ca, alisonautomation.ca, or any related software, website, dashboard, workflow, report, model, upload, data-processing feature, or communication channel made available by Alison, you agree to these Terms. If you do not agree, you must not access or use the Services.
1. Definitions
"Alison," "we," "us," and "our" mean the operator of the Alison Automation platform. "Services" means all websites, applications, dashboards, consumer portfolio tools, automation workflows, financial reporting tools, bookkeeping workflows, tax workflows, document tools, artificial intelligence features, models, reports, exports, APIs, and related services that we make available. "User," "you," and "your" mean any person or entity that accesses or uses the Services. "User Data" means any information, data, file, record, holding, transaction, account detail, note, thesis, message, document, report, image, spreadsheet, upload, prompt, instruction, or other content submitted to, stored in, processed by, or generated through the Services.
2. Acceptance and Eligibility
By using the Services, you represent that you have the legal capacity and authority to agree to these Terms. If you use the Services on behalf of a company, trust, partnership, family office, advisory group, or other organization, you represent that you are authorized to bind that organization. You are responsible for ensuring that each person who uses the Services through your account complies with these Terms.
3. Accounts and Security
You are responsible for your account, credentials, devices, sessions, uploads, and all activity that occurs under your account. You must provide accurate registration information and keep it current. You must not share credentials, circumvent access controls, attempt to access another user's account, or interfere with the Services. We may suspend, restrict, or terminate access at any time if we believe the Services are being misused, if security risk exists, if your information is inaccurate, or if we decide to discontinue any feature or account.
4. User Data Rights and License
You retain whatever ownership rights you may have in User Data, subject to the rights and permissions granted in these Terms. By submitting, entering, uploading, importing, connecting, syncing, generating, or otherwise making User Data available to the Services, you grant Alison a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable, irrevocable, and perpetual license to host, store, copy, reproduce, process, parse, extract, normalize, transform, aggregate, analyze, index, classify, display, perform, transmit, publish, create derivative works from, and otherwise use User Data for the following purposes:
- providing, maintaining, securing, debugging, and improving the Services;
- creating dashboards, reports, summaries, analytics, models, outputs, classifications, and workflow suggestions;
- developing, testing, training, evaluating, and improving software, automation, artificial intelligence, and data-processing systems;
- generating de-identified, aggregated, benchmark, statistical, diagnostic, research, and product-development data;
- detecting fraud, misuse, security incidents, errors, abuse, or unlawful activity;
- complying with law, court orders, regulators, tax authorities, auditors, professional advisers, and lawful requests; and
- operating, financing, transferring, reorganizing, selling, or assigning the Services or any related business assets.
You agree that we may retain copies, logs, derived data, metadata, backups, diagnostic records, and aggregated or de-identified data even after account deletion, to the maximum extent permitted by law. You waive, release, and agree not to assert against Alison any moral rights, approval rights, inspection rights, or similar rights you may have in outputs, analysis, derived data, aggregated data, or uses of User Data permitted by these Terms, except to the extent such rights cannot legally be waived.
5. Your Responsibility for User Data
You are solely responsible for User Data. You represent and warrant that you have all rights, consents, permissions, notices, licenses, and lawful authority required to submit User Data to the Services and to grant the rights in these Terms. You must not submit data if doing so would violate law, contract, confidentiality obligations, fiduciary duties, privacy rights, securities rules, employment obligations, professional duties, or third-party rights. You are responsible for verifying the accuracy, completeness, legality, tax treatment, accounting treatment, valuation, investment characterization, and suitability of all User Data and outputs.
6. Outputs, Reports, Models, and Automated Features
The Services may produce calculations, summaries, journal-entry suggestions, financial-statement schedules, tax package summaries, portfolio dashboards, investment ideas, forecasts, valuations, charts, categorizations, classifications, commentary, or other outputs. Outputs may be incomplete, inaccurate, outdated, biased, incorrectly formatted, unsupported, or inappropriate for your circumstances. You are solely responsible for reviewing, validating, correcting, approving, and deciding whether to rely on any output. You must not treat any output as a substitute for professional judgment, independent review, or advice from qualified legal, tax, accounting, investment, valuation, or other advisers.
7. No Legal, Tax, Accounting, Investment, or Professional Advice
Alison is a software and automation platform. The Services do not provide legal advice, tax advice, accounting advice, audit advice, assurance, investment advice, financial planning advice, valuation advice, brokerage services, portfolio management, fiduciary services, or professional certification. Nothing in the Services is an offer, recommendation, solicitation, opinion, assurance, guarantee, or instruction to buy, sell, hold, borrow, lend, report, file, value, restructure, or otherwise act. You are solely responsible for obtaining professional advice before making decisions.
8. Investment and Market Risk
Any investment ideas, portfolio views, watchlists, model outputs, rankings, backtests, market data, price marks, return calculations, scenario projections, or strategy commentary are informational only. Market prices, foreign exchange rates, returns, benchmarks, and security data may be delayed, estimated, inaccurate, incomplete, or unavailable. Past performance, backtested performance, model performance, or simulated performance does not indicate future results. You are solely responsible for all investment decisions and all gains, losses, taxes, fees, and consequences.
9. Privacy and Confidentiality
Your use of the Services is also governed by our Privacy Policy. You acknowledge that no internet-based service can be guaranteed to be completely secure, private, uninterrupted, or error-free. You must not upload highly sensitive information unless you are willing to accept the risks of processing that information through an online service. We may access, review, process, and disclose User Data as described in these Terms, the Privacy Policy, or as reasonably necessary to operate, secure, support, improve, defend, or comply with legal obligations related to the Services.
10. Prohibited Uses
You must not use the Services to:
- violate any law, regulation, contract, court order, professional duty, or third-party right;
- upload malware, unlawful data, stolen data, or data you are not authorized to process;
- reverse engineer, scrape, overload, copy, resell, sublicense, or exploit the Services except as expressly permitted;
- misrepresent outputs as certified, audited, reviewed, approved, or professionally prepared by Alison;
- make investment, tax, legal, accounting, or filing decisions without independent review;
- attempt to bypass security, rate limits, access controls, authentication, or usage restrictions; or
- use the Services in a manner that could harm Alison, other users, or the public.
11. Third-Party Services and Data
The Services may use or link to third-party services, market data providers, banks, brokers, cloud infrastructure, document systems, artificial intelligence providers, payment processors, websites, or APIs. We do not control third-party services and are not responsible for their availability, accuracy, security, terms, policies, outages, fees, data practices, or performance. Your use of third-party services may be subject to separate terms and privacy policies.
12. Availability, Changes, and Beta Features
The Services may change at any time. Features may be experimental, incomplete, unsupported, rate-limited, temporarily unavailable, or discontinued without notice. We do not guarantee that any feature, dataset, calculation, integration, workflow, account, file, or output will remain available. We may modify, suspend, restrict, or terminate the Services, in whole or in part, at any time.
13. Fees and Free Features
Certain Services may be free, paid, invite-only, limited, or subject to future pricing. We may introduce, change, or remove fees, limits, usage caps, features, or eligibility requirements at any time. Free access does not create any entitlement to continued access, support, storage, uptime, feature parity, or data export.
14. Intellectual Property
The Services, including software, designs, interfaces, workflows, models, code, databases, prompts, templates, documentation, branding, trade names, analytics, derived data, and other materials, are owned by Alison or its licensors and are protected by intellectual property and other laws. Except for your limited right to use the Services under these Terms, no rights are granted to you. You must not copy, modify, distribute, sell, lease, host, reverse engineer, or create competing services using Alison materials unless we expressly authorize it in writing.
15. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided "as is," "as available," and "with all faults." Alison disclaims all warranties, representations, conditions, and guarantees, whether express, implied, statutory, or otherwise, including warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, title, non-infringement, availability, security, uninterrupted operation, error-free operation, and suitability for any legal, tax, accounting, investment, filing, reporting, or business purpose.
16. Limitation of Liability
To the maximum extent permitted by law, Alison and its owners, officers, directors, employees, contractors, affiliates, suppliers, licensors, advisers, agents, successors, and assigns will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, reliance, loss-of-data, loss-of-profit, loss-of-revenue, business interruption, reputational, tax, investment, accounting, filing, valuation, reporting, security, or other damages arising out of or related to the Services, User Data, outputs, these Terms, or your decisions, even if advised of the possibility of such damages.
To the maximum extent permitted by law, Alison's total aggregate liability for all claims arising out of or related to the Services or these Terms will not exceed the greater of: (a) the amount you paid Alison for the Services in the three months before the event giving rise to the claim; or (b) CAD $100. This limitation applies regardless of the theory of liability, including contract, tort, negligence, strict liability, statute, equity, or otherwise.
17. Release
To the maximum extent permitted by law, you release Alison and its owners, officers, directors, employees, contractors, affiliates, suppliers, licensors, advisers, agents, successors, and assigns from all claims, demands, damages, losses, liabilities, costs, expenses, rights, and causes of action arising out of or related to your use of the Services, your User Data, your reliance on outputs, your sharing of information, your financial or investment decisions, your tax or accounting decisions, your dealings with third parties, or disputes between you and any other person.
18. Indemnity
You agree to defend, indemnify, and hold harmless Alison and its owners, officers, directors, employees, contractors, affiliates, suppliers, licensors, advisers, agents, successors, and assigns from and against any claims, demands, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to: your use of the Services; User Data; your breach of these Terms; your violation of law or third-party rights; your decisions or reliance on outputs; your professional, tax, accounting, investment, filing, reporting, or business activities; or any allegation that User Data or your use of the Services infringes, misappropriates, or violates any rights or obligations.
19. Dispute Resolution, Class Waiver, and Jury Waiver
Before starting any formal proceeding, you agree to first contact us and attempt to resolve the dispute informally. To the maximum extent permitted by law, any dispute, claim, or controversy arising out of or related to these Terms or the Services must be resolved on an individual basis and not as a plaintiff, class member, representative, or participant in any class, collective, consolidated, or representative action. To the maximum extent permitted by law, you waive any right to a jury trial.
20. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Subject to the dispute-resolution provisions above, you agree to the exclusive jurisdiction and venue of the courts located in Ontario, Canada.
21. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you violated these Terms, created risk, misused the Services, infringed rights, submitted unlawful data, or if we discontinue or modify the Services. After termination, these Terms continue to apply to prior use, retained data, licenses, disclaimers, liability limits, releases, indemnities, dispute provisions, and any provisions that by their nature should survive.
22. Changes to These Terms
We may update these Terms at any time. Updated Terms are effective when posted unless otherwise stated. Your continued access to or use of the Services after changes are posted means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
23. Miscellaneous
These Terms, together with any policies or notices referenced in them, form the entire agreement between you and Alison regarding the Services. If any provision is found invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent. We may assign, transfer, or delegate these Terms and our rights or obligations at any time.
